BolognaFiere Cosmoprof SpA, hereinafter the "Company", undertakes to ensure conditions of fairness and transparency in the conduct of business and corporate activities to protect its position and image, the expectations of its customers, shareholders and the work of its employees and collaborators. The Company, aware of the importance of having an internal control system suitable to prevent the commission of unlawful conduct by its directors, employees, collaborators and business partners, has chosen to adopt a Model of Organization, Management and Control, in line with the principles of transparency and fairness that distinguish it.
This document represents the Organization, Management and Control Model, adopted pursuant to Legislative Decree 231/2001 by the Board of Directors of BolognaFiere Cosmoprof S.p.A. with resolution dated 03.05.2020.
In fact, Legislative Decree 231/01 has introduced into the Italian legal system a particular form of administrative liability of companies, associations (including those without legal personality) and other entities with legal personality for the commission of specifically provided crimes.
The Organization, Management and Control Model of BolognaFiere Cosmoprof S.p.A. constitutes of a General Part, which contains the principles and purposes of the Model, and of a Special Parts which detail the most significant types of crimes and offenses to be prevented and the additional annexes and provisions referred to.
Furthermore, to complete the Model, it is provided a disciplinary system which sanctions infringements according to criteria of gradualness and proportionality of the sanction in relation to the behaviour detected.
The Code of Ethics, which is integral part of the Model, defines the values and ethical responsibilities that the companies part of the BolognaFiere Group assume towards all their interlocutors with the aim of increasing and protecting the identity and efficiency of the Group.
BolognaFiere Cosmoprof S.p.A. has appointed a special Supervisory Body, endowed with autonomous powers of initiative and control, which supervises the observance and effectiveness of the Model. To this, employees, collaborators and external parties in an interest relationship with BolognaFiere Cosmoprof S.p.A. (suppliers, customers, commercial partners, etc.) can contact to communicate any illicit conducts or irrrgularities and deficiencies of the Model itself (Whistleblowing)
